The registered office of Fempar S.p.A. is in Via Amerigo Vespucci 2 - 20124 Milan. Or at least, that's what it says in the articles of association, which have been registered with the court and Chamber of Commerce.

Thus, it is rather disconcerting to find that Fempar has left the rented premises at the above address and that they are now occupied by new tenants.

Not only is Via Vespucci no longer home to Fempar's head office, offices, statutory books, corporate and tax records and all other legal documents: Fempar has no address.

In other words, for some months now, Fempar is without a registered office. The Board of Directors set up an administrative department in via Porlezza 8, Milan c/o Elios Holding S.p.A. announcing the fact in a press release (though it is unclear who it was published by) and in so doing, the company believes it has complied with the requirements of the law. But then, all sorts of strange things are happening in Fempar:

- Fempar is currently lodging with its "cousin", Elios Holding (they both have the same controlling shareholder).

- This shareholder fails to turn up at extraordinary shareholders' meetings without justifying his absence, so making it impossible to vote on relocating the registered office.

- The Chairman declares having paid 90 million lire into the company out of his own pocket since there wasn't enough money for certain non-deferrable payments

.- Grant Thornton S.p.A. refused to certify the balance sheet "on account of the limits to procedures and significant uncertainty on specific issues"

.- The Board of Directors responded by saying that the auditors were not being objective and defined their behaviour as barely acceptable.

- A number of legal proceedings are in progress, some of which are somewhat "serious"

- The industrial strategy illustrated during the last meeting and designed to put the company accounts and management back on an even keel is not yet underway.

- The arrival of SMP as a shareholder only seems to have added to the chaos and confusion.

- As things stand today, the company is without a registered office or controlling shareholder and you can't make head or tail of its future.
